Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective August 2, 2019 Bennet Tchaikovsky, a member of the board of directors of Ener-Core, Inc. (the “Board”) and chair of the Board’s audit committee resigned. Per Mr. Tchaikovsky: “My resignation is for personal reasons related to other professional commitments. My resignation is not due to the Company’s operations, policies or practices and/or my experience while serving on the Board of Directors or the management team.”
