(the "Company"), effected a one-for-eight reverse stock split of its common stock and its operating partnership Wheeler REIT, L.P. (the "Partnership") effected a one-for-eight reverse split of its common units (collectively the "Reverse Securities Split"). The amount of securities reflected on this Form 4 have been adjusted to reflect the Reverse Securities Split.
[F2]Pursuant to the Partnership Agreement of the Partnership, holders of the Partnership, may, after a one year holding period, elect to exchange their common units for common stock of the Company on an one-for-one basis. Upon a redemption request, the Company has the option to purchase the common units directly, either in cash or common stock of the Company.
