Item 8.01 Other Events.

On October 19, 2021, the Company declared a quarterly dividend of $0.10 per share of its common stock. The dividend is payable on November 19, 2021 to shareholders of record on November 5, 2021. A copy of the press release issued on October 20, 2021 announcing the dividend is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
