Item 3. Sales of Securities and Use of Proceeds

On December 20, 2016, Capital Auto Receivables LLC (the “Depositor”), sold the Certificate issued by Capital Auto Receivables Asset Trust 2013-2 (the “Issuing Entity”), pursuant to the terms of a Certificate Purchase Agreement, dated as of December 20, 2016, between the Depositor and a wholly-owned special purpose subsidiary of the Depositor (the “Transferor”). On December 20, 2016, the Transferor subsequently sold the Certificate pursuant to the terms of a Master Repurchase Agreement, dated as of December 20, 2016, between the Transferor and a Qualified Institutional Buyer within the meaning of Rule 144A of the Securities Act. The Certificate was sold in reliance on the exemption from registration under Section 4(a)(2) of the United States Securities Act of 1933. The Certificate was originally issued by the Issuing Entity pursuant to a Trust Agreement, dated as of June 26, 2013, between the Depositor and BNY Mellon Trust of Delaware, as owner trustee, and was initially retained by the Depositor on June 26, 2013.
