- [F1]The Reporting Person has the right to vote these shares held by IDS, Inc. ("IDS") pursuant to the terms of a May 18, 2021, Shareholder Voting and Representation Agreement between the Issuer, the Reporting Person and IDS (the "Voting Agreement"). Pursuant to the Voting Agreement, IDS provided Mr. Kerby the right to, and an irrevocable proxy to, vote all of the IDS Shares held by IDS at any meeting of stockholders of the Company and/or via any written consent of stockholders of the Company.
- [F2]The Voting Agreement remains in place until the earlier of the fifth anniversary of the Voting Agreement; the disposition of the shares by IDS pursuant the terms of a separate agreement; a change of control of more than 50% voting control of the Issuer; the sale of all or substantially all of the assets of the Issuer; or termination of the Voting Agreement by the Reporting Person. No separate consideration was provided by the Reporting Person for the voting rights, which are held as the shareholder representative for the benefit of the Issuer.
