- [F1]On December 11, 2020, Steadfast Apartment Advisor, LLC ("STAR Advisor"), a stockholder of the issuer, made a pro rata distribution of shares of the issuer's comment stock ("Common Stock") to the ultimate owners of the STAR Advisor (the "Distribution"). STAR Advisor is owned by Steadfast REIT Investments, LLC ("SRI") (discussed below), which is indirectly majority owned and controlled by the reporting person.
- [F2]In connection with the Distribution, the reporting person received 145,003.021 shares of Common Stock.
- [F3]Shares of Common Stock are held directly by SRI. The reporting person may be deemed to beneficially own the shares of Common Stock held by SRI, but the reporting person disclaims beneficial ownership of such shares except to the extent of the reporting person's pecuniary interest therein. The number of shares of Common Stock indicated in Item 5 does not include shares of Common Stock directly held by STAR Advisor and STAR III Advisor (each as defined herein).
- [F4]Shares of Common Stock are held directly by Steadfast Apartment Advisor III, LLC ("STAR III Advisor"), which is owned by SRI. The reporting person may be deemed to beneficially own the shares of Common Stock held by STAR III Advisor, but the reporting person disclaims beneficial ownership of such shares of Common Stock except to the extent of the reporting person's pecuniary interest therein.
- [F5]Shares of Common Stock are held directly by reporting person's spouse. The reporting person disclaims beneficial ownership of such shares, and this report shall not be deemed an admission that the reporting person is the beneficial owner of the shares for purposes of Section 16 or for any other purposes.
- [F6]The class B units of limited partnership interest ("Class B OP Units") in Steadfast Apartment REIT Operating Partnership, L.P., the operating partnership (the "Operating Partnership") of the issuer and of which the issuer is the general partner, were issued to SRI in exchange for assets contributed to the Operating Partnership in connection with the internalization of the management of the issuer and were valued at $15.23 per Class B OP Unit, which was the most recently estimated value per share of the issuer's common stock. Commencing two years from the date of issuance, each Class B OP Unit is redeemable for cash equal to the then-current market value of one share of the issuer's common stock or, at the election of the issuer, one share of the issuer's common stock. Class B OP Units have no expiration date.
- [F7]The reporting person may be deemed to beneficially own the Class B OP Units held by SRI, but the reporting person disclaims beneficial ownership of such Class B OP Units except to the extent of the reporting person's pecuniary interest therein.
