At the effective time of the Merger at 12:01 a.m. on May 1, 2020 (the "Effective Time"), each outstanding share of FSB common stock converted into the right to receive, at the election of each holder, either, 0.4394 shares of Evans common stock and $17.80 in cash (the "Merger Consideration"). On April 30, 2020, the last trading day before the Effective Time, the closing price of FSB's common stock was $13.36 per share and the closing price of Evans' common stock was $27.77 per share.
