("PJAM") for the purchase of 200,000 shares of its common stock in a privately-negotiated transaction for an aggregate purchase price of $51,476,000. The repurchase was approved by the company's board of directors and is exempt from Section 16(b) by the virtue of Rule 16b-3(e). IBP Holding Company is the sole shareholder of PJAM.
