- [F1]International Baler Corporation (the "Company") entered into an Agreement and Plan of Merger, dated as of March 23, 2022, as amended (the "Merger Agreement"), with Avis Industrial Corporation ("Avis"), and AIC Merger Sub, Inc. ("Merger Sub"). Pursuant to the Merger Agreement, Avis caused Merger Sub to conduct a tender offer (the "Tender Offer") for all of the issued and outstanding shares of common stock of the Company (not owned by Avis), at a price of $1.74 per share. On May 19, 2022, Merger Sub irrevocably accepted for payment all shares that were validly tendered and not withdrawn.
