Pursuant to the Merger Agreement, Avis caused Merger Sub to conduct a tender offer (the "Tender Offer") for all of the issued and outstanding shares of common stock of the Company (not owned by Avis), at a price of $1.74 per share. On May 19, 2022, Merger Sub irrevocably accepted for payment all shares that were validly tendered and not withdrawn.
