("Alpine 4") amended its Certificate of Incorporation to provide that currently outstanding shares of common stock would be designated Class A Common Stock, and to provide for the issuance of Class B Common Stock. Subsequent to the filing of the Certificate of Amendment, the Reporting Person entered into a Share Exchange Agreement with Alpine 4, whereby the Reporting Person exchanged his shares of Class A common stock for an equal number of shares of Class B common stock. No other consideration was paid by the Reporting Person.
