- [F1]On May 29, 2014, the Reporting Person and the Company entered into a letter agreement pursuant to which the Reporting Person agreed to convert certain debts owed by the Company to the Reporting Person in the aggregate amount of $140,000 into units of the Company, each unit consisting of one share of common stock and a warrant to purchase one share of common stock, at a conversion rate of $1.25 per unit. The units issued by the Company to the Reporting Person contained substantially the same terms and conditions of the Company's private placement that closed on May 29, 2014.
- [F2]Trig Capital Group, LLC ("Trig"), of which the Reporting Person was one of three members, was issued a warrant (the "Trig Warrant") to purchase 1,800,000 shares of the Company's common stock as compensation for an advisory agreement between the Company and Trig Capital Group, LLC pursuant to which Trig provided the Company with foreign and domestic marketing services, management advice and support regarding operations, administrative services and assist with business development as required by the Company. The Trig Warrant was subsequently split into three separate warrants, each to purchase 600,000 shares of the Company's common stock and assigned to the three members.
