- [F1]The transaction was an Issuer tender offer for up to 20% of the Issuer's outstanding common shares, which expired on August 11, 2017. On August 14, 2017, the Issuer announced that the tender offer was oversubscribed and that notices of guaranteed delivery were received for common shares. Pursuant to the terms of the tender offer, the Issuer will purchase up to 1,396,465 common shares on a pro rata basis. The Issuer is expected to announce the pro rata amounts accepted by the Issuer in the near future, and upon such notification by the Issuer as to the actual number of common shares purchased in the tender offer, the Reporting Person will file an amendment to this Form 4 reporting the number of its common shares sold in the tender offer and the remaining number beneficially owned thereafter.
