- [F1]On June 16, 2022, the reporting person was granted stock options to purchase 300,000 shares of common stock. The stock options vest in two equal installments based on the achievement of certain performance conditions during specified time periods (each, a "Milestone Event"), with the full vesting of the applicable tranche of stock options to occur 60 days after the achievement of the applicable Milestone Event. The first of the Milestone Events was achieved on July 29, 2022 and the stock options with respect to 150,000 shares of common stock will become fully vested and exercisable on the 60th day following the date of the achievement of the Milestone Event, subject to the reporting person's continued employment with the issuer through such date.
