- [F1]On September 16, 2022, the reporting person was granted the number of restricted stock units ("RSUs") in Table 1, Box 4 above, each of which represents a contingent right to receive one share of Phunware, Inc. common stock pursuant to an employment agreement entered into by and between the reporting person and Phunware, Inc. on such date. Subject to certain accelerated vesting provisions set forth in such employment agreement, the RSUs will vest over four years, subject to the reporting person's continuous service with Phunware, Inc., with 135,417 RSUs vesting on May 8, 2023, 40,510 RSUs vesting on each of August 8, 2023 and November 8, 2023 and the balance vesting in equal quarterly installments of 40,509 RSUs thereafter, with the final installment vesting March 31, 2026.
