- [F2]On September 16, 2022, the reporting person was granted the number of restricted stock units ("RSUs") in Table 1, Box 4 above, each of which represents a contingent right to receive one share of Phunware, Inc. common stock pursuant to an employment agreement entered into by and between the reporting person and Phunware, Inc. on such date. Subject to certain accelerated vesting provisions set forth in such employment agreement, the RSUs will vest over four years, subject to the reporting person's continuous service with Phunware, Inc., with 135,417 restricted stock units vesting on May 8, 2023, 40,510 restricted stock units vesting on each of August 8, 2023 and November 8, 2023 and 40,509 restricted stock units vesting on each of May 8, 2024, August 8, 2024, November 8, 2024, May 8, 2025, August 8, 2025, November 8, 2025 and March 31, 2026, subject to his continued employment with the Company on each such vesting date.
