- [F1]Under the terms of the Talen Energy Corporation 2023 Equity Incentive Plan (the "Plan"), each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of the common stock, par value $0.001, of Talen Energy Corporation (the "Company") or its cash equivalent, as determined at the time of settlement by the Compensation Committee of the Company's Board of Directors (the "Compensation Committee"). On July 10, 2024, one-third of this RSU award vested and was settled in cash, as directed by the Compensation Committee pursuant to the terms of the Plan. The balance of this RSU award is scheduled to vest in equal increments on July 10, 2025 and July 10, 2026.
