Item 2.02 Results of Operations and Financial Condition.

On November 13, 2024, Stronghold Digital Mining, Inc. (the “Company”) issued a press release announcing the Company’s financial and operating results for the third quarter ended September 30, 2024. A copy of the press release is furnished as Exhibit 99.1 to this report and incorporated herein by reference. The Company will host a conference call with investors on Wednesday, November 13, 2024, at 8:30 am Eastern Time.
