Item 8.01 Other Events.

On August 4, 2025, Lazard, Inc. issued a press release announcing the results of the previously announced cash tender offer of its subsidiary Lazard Group LLC (“Lazard Group”) for any and all of Lazard Group’s outstanding 3.625% Senior Notes due March 1, 2027. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
