On October 9, 2025, Oil-Dri Corporation of America (the “Company”) issued a press release announcing its results of operations for its fourth quarter and fiscal year ended July 31, 2025. A copy of the press release is attached as Exhibit 99.1, and the information contained therein is incorporated herein by reference.

			Item 8.01			Other Events.

On October 8, 2025, the Company issued a press release announcing that, at its regular meeting on October 8, 2025, the Board of Directors of the Company (the “Board”) declared quarterly cash dividends of $0.18 per share of Common Stock, and $0.135 per share of Class B Stock. The dividends will be payable on November 21, 2025 to stockholders of record at the close of business on November 7, 2025.
