- [F1]On April 6, 2023, the Company's board of directors approved increasing the lead director's fee payable to the reporting person in connection with his appointment as Chairman. The reporting person has elected to take 100% of such fee increase in the form of shares of restricted stock with a three-year restriction period. Because the reporting person elected to take his fee increase in shares of restricted stock in lieu of cash, the Company awarded him additional shares of restricted stock, equal to 60% of the value of such fee increase. The price of the securities acquired by the reporting person with respect to the fee increase is based upon the 10 day average stock price of the common stock for the 10 trading days immediately preceding April 21, 2023, which is equal to $36.29. The number of securities issued is equal to the prorated fee increase plus the value of the additional shares divided by such 10-day average stock price.Remarks
