Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Agreements of Certain Officers.

Effective May 31, 2019, Mr. Verghese has resigned as the Chief Technical Officer and director of the Company, Apotheca Biosciences. The decision was based on personal matters not related to any disagreement with the Company. The Company is in the final selection process for its Chief Science Officer which will replace the Chief Technical Officer role.
