Item 2.02 Results of Operations and Financial Condition.

On February 25, 2026, LivaNova PLC (the “Company”) issued a press release announcing financial results for the quarter and full year ended December 31, 2025. The Company will host a business update conference call and webcast today, February 25, 2026, at 1 p.m. London time (8 a.m. Eastern Time), during which the Company will discuss the financial results. The conference call will be available through the LivaNova website at www.livanova.com/events.

A copy of the Company’s press release related to the foregoing matters is attached hereto as Exhibit 99.1.
