Item 4.01 Changes in Registrant’'s Certifying Accountant.

On August 12, 2016, HKCMCPA Company Limited ("HKCMCPA") was appointed as the new independent registered public accounting firm for China Internet Cafe Holdings Group, Inc. (the “"Company”"). The decision to appoint HKCMCPA was ~~notified~~approved ~~that,~~by ~~effective~~the ~~April~~Company's 30Board of Directors. Prior to engaging HKCMCPA on August 12, 2016, ~~AWC~~the ~~(CPA)~~Company ~~Limited~~has ~~(“AWC”)~~not ~~has~~consulted ~~merged~~HKCMCPA (regarding the ~~“Merger”)~~ application of accounting principles to a specified transaction, completed or proposed, the type of audit opinion that might be rendered on our financial statements or a reportable event, nor did the Company consult with ~~Dominic~~HKCMCPA ~~K.F.~~regarding ~~Chan~~any &disagreements Cowith ~~(“DKFC”)~~the ~~and~~Company's ~~formed~~prior ~~DCAW~~auditor ~~(CPA)~~on ~~Limited~~any ~~(“DCAW”)~~matter of accounting principles or practices, financial statement disclosure, or auditing scope of procedure, which isdisagreements, ~~registered~~if ~~with~~ not resolved to the ~~Public~~satisfaction ~~Company~~of ~~Accounting~~the ~~Oversight~~prior ~~Board~~auditor, ~~(PCAOB)~~would have caused it to make a reference to the subject matter of the disagreements in connection with its reports.

AsSimultaneously awith ~~result~~the appointment of ~~the Merger~~HKCMCPA, ~~AWC resigned as the Company’s independent registered public accounting firm~~ on ~~April~~August 3012, 2016~~. On May 5~~, ~~2016, the Company engaged~~ DCAW (CPA) Limited ("DCAW") was terminated as ~~its~~the independent registered public accounting firm for the Company. The ~~engagement~~decision ofto change audit firms from DCAW to HKCMCPA was approved by the ~~Audit Committee of the~~ Company’'s ~~board~~Board of ~~directors on May 5, 2016~~Directors.

The ~~audit~~report ~~reports~~ of ~~AWC~~DCAW on the financial statements of the Company as of and for the years ended December 31, ~~2014~~2015 and ~~2013~~December 31, 2014 did not contain any adverse opinion or disclaimer of opinion, and ~~were~~was not qualified or modified as to uncertainty, audit scope, or accounting ~~principles~~principle.

InDuring ~~connection with~~ the ~~audits of the~~ Company’'s ~~financial~~ ~~statements for the fiscal~~ years ended December 31, ~~2014~~2015 and ~~2013~~2014, and through ~~the~~August ~~date~~12, ~~of this Current Report~~2016, there were~~: (i)~~ no disagreements with ~~AWC~~DCAW on any ~~matters~~matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which ~~disagreement(s)~~disagreements, if not resolved to ~~the~~DCAW's satisfaction ~~of AWC~~, would have caused itDCAW to make reference to the subject matter of the disagreement~~(s)~~ in ~~connection with~~ its reports, ~~and~~on ~~(ii) no reportable events of~~ the ~~type~~Company's ~~described~~financial ~~in Item 304(a)(1)(v) of Regulation S-K~~statements.

During the Company’'s ~~two most recent fiscal~~ years ~~and~~ended ~~through~~December ~~May 5~~31, ~~2016,~~2015 ~~neither~~and ~~the Company nor anyone on its behalf consulted with DCAW regarding (i) the application of accounting principles to a specified transaction~~2014, ~~either completed or proposed; or the type of audit opinion that might be rendered on the Company's financial statements,~~ and ~~neither~~through aAugust ~~written report nor oral advice was provided that DCAW concluded was an important factor considered by the Company in reaching a decision as to the accounting~~12, ~~auditing or financial reporting issue; or (ii) any matter that was either the subject of a disagreement~~2016, asthere ~~defined~~were inno ~~Item~~reportable ~~304(a)(1)(iv)~~events of ~~Regulation~~the ~~S-K~~type ~~and its related instructions, or a reportable event as~~ described in Item 304(a)(1)(v) of Regulation S-K.

~~AWC~~The ~~furnishes~~Company provided DCAW with a copy of this Current Report on Form 8-K and DCAW has furnished the Company with a letter addressed to the Securities and Exchange Commission stating whether or not ~~AWC~~it agrees with the statements made ~~therein~~herein. A copy of such letter, dated ~~May~~August 912, 2016, furnished by ~~AWC~~DCAW is filed as Exhibit 16.1 to this Form 8-K.
