On September 21, 2018 the Registrant issued options to purchase up to 36,000,000 shares of its common stock. ~~The~~to ~~options~~persons that were ~~offered~~located ~~to persons~~ outside the United States~~, pursuant to an exemption from registration under the Securities Act of 1933~~. ~~The offering was not a public offering as defined in Section 4(2) due to the limited number of persons that received the options and the manner of the offering.~~

On November 6, 2018 the parties entered into a mutual cancellation agreement whereby the option to purchase 36,000,000 shares of the Company’s common stock was cancelled.
