~~The~~Notes ~~Company’s financial statements are prepared in accordance with generally accepted accounting principles applicable~~ to ~~a going concern. This contemplates~~ the ~~realization~~Unaudited ofFinancial assets and the liquidation of liabilities in the normal course of business. Currently, the Company does not have material assets, nor does it have operations or a source of revenue sufficient to cover its operation costs and allow it to continue as a going concern. The Company has an accumulated deficit of $397,671. The Company will be dependent upon the raising of additional capital through placement of common stock in order to implement its business plan, or merge with an operating company. There can be no assurance that the Company will be successful in either situation in order to continue as a going concern. These financial statements do not include any adjustments relating to the recoverability and classification of recorded assets or the amounts of and classification of liabilities that might be necessary in the event the company cannot continue in existence. Accordingly, these factors raise substantial doubt as to the Company’s ability to continue as a going concern.Statements

OnNOTE ~~December~~3 ~~31,2021~~- ~~the~~RELATED-PARTY Company issued a promissory note to the majority shareholder, sole officer and director of the Company, for principal of $116,804 and accrued interest of $332. The amount was originally due to a corporation controlled by the Company’s former officer of the Company and operating expenses paid by the Company’s officer. The promissory note is payable on demand and accrue an annual interest rate of 12%.TRANSACTIONS

~~NOTE~~On 4December –31, ~~INCOME~~2021, ~~TAXES~~the Company issued a promissory note to the majority shareholder, sole officer and director of the Company, for principal of $116,804 and accrued interest of $332. The amount was originally due to a corporation controlled by the Company’s former officer of the Company and operating expenses paid by the Company’s officer. The promissory note is payable on demand and accrue an annual interest rate of 12%.

~~Income~~For ~~tax~~the ~~expense~~three ~~was~~and nine months ended September 30, 2022, the Company accrued interest of $04,946 and ~~for~~$12,688, respectively. For the ~~six~~three and nine months ended ~~June~~September 30,~~202~~ 2021, the Company accrued interest of $3,442 and $9,403, respectively. As of September 30, 2022, and December 31, 2021, the Company has recorded outstanding principal of $162,888 and $116,804 and accrued interest payable of $13,021 and $332, respectively.

AsThe ~~of January1,2022 the~~ Company ~~had~~plans noto ~~unrecognized~~pay ~~tax~~the ~~benefits,~~note payable and ~~accordingly,~~accrued ~~the~~interest ~~Company~~as ~~did~~cash ~~not~~flows ~~recognize~~become ~~interest~~available or ~~penalties~~if ~~during~~agreeable ~~2022 related~~ to ~~unrecognized tax benefits. The Company currently does not engage in any business activities that provide cash flow. During the next twelve months we anticipate incurring costs related to:

investigating, analyzing and consummating an acquisition.

We believe we will be able to meet these costs through use of funds in our treasury, through deferral of fees by certain service providers and additional amounts, as necessary, to be loaned to or invested in us by our stockholders, management or other investors. As of the date of the period covered by this report, the Company has no cash. There are no assurances that the Company will be able to secure any additional funding as needed. Furthermore, it could cause the value of such securities to significantly decline or be worthless. Recently, the PRC government initiated a series of regulatory actions and made a number of public statements on the regulation of business operations in China with little advance notice, including cracking down on illegal activities in the securities market, enhancing supervision over China-based companies listed overseas using a VIE, adopting new measures to extend the scope of cybersecurity reviews, and expanding efforts in anti-monopoly enforcement. We do not believe that we will be directly subject to these regulatory actions or statements, as we will not create a VIE structure post merger transaction, and any operating business acquired or developed will not involve the collection of user data, implicate cybersecurity, or involve any other type of restricted industry. Nonetheless, any future action by the PRC government expanding the categories of industries and companies whose foreign securities offerings are subject to government review could significantly limit or completely hinder our ability to offer or continue to offer securities to foreign investors and list on a US or foreign exchange and also could cause the value of such securities to significantly decline or be worthless. The decrease in operating expenses was primarily a result of a decrease in professional fees related to audit and accounting fees due to the delay of our filings with the Securities and Exchange Commission.

Other expenses for the three months ended September 30, 2022 and 2021 consists of interest expenses of $4,946 and $3,442, respectively, related to a note payable to a related party.

Our operating expenses for the nine months ended September 30, 2022 were $44,129 compared to $41,795 for the same period in 2021. The increase in operating expenses was primarily a result of an increase in professional fees related to audit and accounting fees partially offset by a decrease in general and administrative expenses.

Other expenses for the nine months ended September 30, 2022 and 2021 consists of interest expenses of $12,688 and $9,403, respectively, related to a note payable to a related party.

Consequently, we incurred a net loss of $56,817 and $51,198 for the nine months ended September 30, 2022 and 2021, respectively.

This increase was mainly driven by an increase in amounts due to a related party.~~

As at September 30, 2022 and December 31, 2021, we had working capital deficiency of $172,789 and $115,972, respectively. The increase in working capital deficiency was $56,817. This increase was mainly driven by an increase in amounts due to a related party.

Cash Flows from Operating Activities

We have not generated cash flows from operating activities. For the ~~six~~nine months ended ~~June~~September 30, 2022, net cash flows used in operating activities was nil, consisting of a net loss of $3756,~~381~~817, reduced primarily by amounts advanced from a related party of $2746,~~551~~084, accrued interest-related party of $712,~~743~~689, change in accounts payable of $~~499~~4,724 and increased by an increase in prepaid ~~expense~~expenses of $16,~~588~~680. For the ~~six~~nine months ended ~~June~~September 30, 2021, net cash flows used in operating activities was nil, consisting of a net loss of $~~10532~~51,198, reduced primarily by amounts advanced from a related party of $1143,~~729~~084, accrued interest-related party of $59,~~934~~375, ~~and~~change ~~increased by a decrease~~ in accounts payable of $21,~~780~~239 and increased by an increase in prepaid expense of $42,~~351~~500.

There is no historical financial information about us upon which to base an evaluation of our performance. We are aan early stage corporation and have not generated sufficient revenues from operations to fully implement our business plan. We cannot guarantee we will be successful in our business operations. Our business is subject to risks inherent in the establishment of a new business enterprise, including limited capital resources, and competition from larger organizations. We will require equity and/or debt financing to provide for the capital required to implement our plans. We will require additional funds to operate for the next year.

The discussion and analysis of our financial condition and results of operations are based upon our financial statements, which have been prepared in accordance with the accounting principles generally accepted in the United States of America. Preparing financial statements requires management to make estimates and assumptions that affect the reported amounts of assets, liabilities, and expenses. These estimates and assumptions are affected by management’s application of accounting policies. We believe that understanding the basis and nature of the estimates and assumptions involved with the following aspects of our financial statements is critical to an understanding of our financial statements.

Use of Estimates

The preparation of financial statements in conformity with accounting principles generally accepted in the United States of America requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities and disclosure of contingent assets and liabilities at the date of the financial statements. The estimates and judgments will also affect the reported amounts for certain expenses during the reporting period. Actual results could differ from these good faith estimates and judgments.

The Company’s management, with the participation of the Company’s Chief Executive Officer and Chief Financial Officer, evaluated the effectiveness of the Company’s disclosure controls and procedures (as that term is defined in Rules 13a-15(e) and 15d-15(e) under the Securities Exchange Act of 1934, as amended) as of the end of the period covered by this Quarterly Report on Form 10-Q. The aforementioned material weaknesses were identified by our Chief Executive and Financial Officer in connection with the review of our financial statements as of ~~June~~September 30, 2022.

Management believes that the material weaknesses set forth above did not have an effect on our financial results. However, management believes that the lack of a functioning audit committee and the lack of a majority of outside directors on our board of directors results in ineffective oversight in the establishment and monitoring of required internal controls and procedures, which could result in a material misstatement in our financial statements in future periods.
