Additional shares of the Issuer may be issued to the Reporting Person in the future upon achievement of certain other milestones in accordance with the Exchange Agreement. No additional consideration was paid in connection with the Exchange, which closed on December 29, 2023.
- [F2]Includes 2,174 shares issued to the Reporting Person in March 2025 as a dividend on shares of Series L Nonvoting Convertible Preferred Stock of the Issuer held by the Reporting Person, which issuance was exempt from Section 16 pursuant to Rule 16a(9)(a).
