Item 8.01 Other Events.

On May 15, 2025, Addentax Group Corp. (the “Company”) issued a press release announcing that it has been engaged in discussions with several substantial and influential cryptocurrency holders, with respect to the potential acquisition of up to 8,000 Bitcoins and other cryptocurrencies, including Official Trump, with an aggregate estimated market value of approximately $800 million. In the event that an agreement is reached, the acquisition is expected to be made through the issuance of the Company’s shares of common stock. No definitive agreement has been reached.
