Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 2, 2025, Miozotis Ponce tendered her resignation as the Chief Operating Officer of Blue Star Foods Corp. (the “Company”), effective June 30, 2025. Ms. Ponce resigned to focus on other endeavors and her resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. At this time, the Company will not be appointing a new Chief Operating Officer to replace Ms. Ponce.
