- [F1]The Restricted Stock Units ("RSUs") were granted to the Reporting Person on August 1, 2019 under the Issuer's 2010 Equity and Performance Incentive Plan. The RSUs vested in their entirety on August 3, 2020. Upon vesting, each RSU entitled the Reporting Person to one share of the Issuer's common stock. In connection with the Issuer's special dividend distribution on December 26, 2019, the original amount of 31,447 RSUs granted to the Reporting Person was adjusted to 60,837 RSUs.
