Item 2.02 Results of Operations and Financial Condition

On August 31, 2021, Swisher Hygiene Inc. (the “Company”) issued a press release reporting (i) that it filed a Current Report on Form 8-K with the Securities and Exchange Commission containing consolidated financial statements, prepared using liquidation basis accounting, and audited by its certifying accountant, for the seven months ended July 31, 2021 and the year ended December 31, 2020, which is attached hereto as Exhibit 99.1 and (ii) that it filed a motion with the Delaware Court seeking approval to make a second and final liquidating distribution of approximately $2.1 million to its stockholders . Also, a copy of the press release is furnished as Exhibit 99.2 to this report.
