Item 8.01.

Other Events.

As previously reported by Swisher Hygiene Inc., a Delaware corporation in dissolution (“Swisher” or the “Company”), on October 14, 2021 the Company filed a motion with the Court of Chancery of the State of Delaware (the “Delaware Court”), to terminate the Company’s existence effective October 31, 2021 (the “Termination Date”). After a brief hearing held on November 5, 2021, the Delaware Court granted the Company’s motion.

As required by a no-action letter dated August 5, 2016 issued to the Company by the Securities and Exchange Commission (the “SEC”), the Company will promptly file a Form 15 with the SEC, terminating the registration of the Company’s common stock, $.001 par value.
