Each RSU represents the contingent right to receive one share of the Issuer's Common Stock. The RSUs shall vest and be settled as to 1/3rd of RSUs on October 12, 2024, and thereafter, the remaining RSUs will vest on an annual basis in two (2) equal installments, subject to the Reporting Person's continuous service to the Issuer on each such date.
