Item 8.01.			Other Events

As previously disclosed, on February 17, 2025, Valvoline Inc., a Kentucky corporation (“Valvoline” or the “Company”), OCI Merger Sub Inc., a Delaware corporation and wholly-owned subsidiary of Valvoline ("Merger Sub"), OC Parent, L.P., a Delaware limited partnership ("HoldCo"), and OC IntermediateCo, Inc., a Delaware corporation and wholly-owned subsidiary of HoldCo ("OC IntermediateCo"), entered into an Agreement and Plan of Merger (the "Merger Agreement"), providing for the merger of Merger Sub with and into OC IntermediateCo, with OC IntermediateCo surviving the merger as a wholly-owned subsidiary of Valvoline (the “Merger”). OC Intermediate, through its subsidiaries, owns and operates the Breeze Autocare business, including quick lube oil change stores operating under the Oil Changers brand (“Breeze Autocare”).

In connection with the Merger, Valvoline and Greenbriar Equity Group, LP, parent of HoldCo (“Greenbriar”) each filed notification and report forms under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (“HSR Act”), with the U.S. Federal Trade Commission (the “FTC”) and the Antitrust Division of the U.S. Department of Justice.

Valvoline today announced that on April 9, 2025, Valvoline and Greenbriar each received a Request for Additional Information and Documentary Material (the “Second Request”) from the FTC in connection with the FTC’s review of the Merger. The Second Request extends the waiting period imposed by the HSR Act until 30 days after Valvoline and Greenbriar have substantially complied with the Second Request unless that period is extended by agreement or terminated sooner by the FTC. Completion of the Merger remains subject to the expiration or termination of the waiting period under the HSR Act and other customary closing conditions, as set forth in the Merger Agreement. The Company expects the transaction to close in the second half of fiscal 2025.
