- [F1]On August 5, 2016, the Reporting Person entered into an agreement with a third party to purchase an interest in the third party's marketing Software Suite (the "Agreement"). Under the terms of the Agreement, the Reporting Person agreed to transfer a total of 650,000 shares (the "Shares") of the Registrant's common stock owned by the Reporting Person, 67,000 of the Shares due as of the date of the Form 4 filed on 8/10/16. The Reporting Person did not deliver any of the Shares and on February 16, 2017, the parties mutually agreed to terminate the Agreement, thus, the Shares remain beneficially owned by the Reporting Person and were never transferred.
