Item 3.02 Unregistered Sales of Equity Securities

On March 21, 2018, the Registrant entered into a Share Purchase Agreement to issue and sell 705,127 shares of its common stock in an offshore transaction under Regulation S to Pontoon Boat Inc. at US$0.30 per share for gross proceeds of US$211,538. The shares are subject to 144 restriction and proceeds will be used for working capital needs.
