Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of January 7, 2020, Sam Battistone resigned as Chairman and member of the Board of Directors (the “Board”) of Globe Photos, Inc., a Delaware corporation (the “Company”). Mr. Battistone’s resignation is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

In addition, effective as of January 3, 2020, Max Scheder-Bieschin resigned as the Chief Financial Officer of the Company. Mr. Scheder-Bieschin’s resignation is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
