Entry into a Material Definitive Agreement

On June 1728, 2022, we entered into aan ~~Securities~~agreement ~~Purchase~~with ~~Agreement~~Simcor (~~“SPA”~~Jiangsu) ~~with~~Materials ~~1800~~Technology ~~DIAGONAL~~Ltd. ~~LENDING~~(“SMTL” ~~LLC,~~or athe ~~Virginia limited liability company~~"Company"), ~~f/k/~~a ~~Sixth~~company ~~Street~~formed ~~Lending,~~in ~~LLC~~the ~~(“Purchaser”),~~Peoples ~~pursuant~~Republic toof ~~which~~China wewith ~~issued~~its ~~and~~registered ~~sold~~address toat ~~the~~Rom ~~Purchaser a convertible promissory note~~407, ~~dated~~Level ~~May~~ 4, ~~2022~~Building A, inZhongchuang ~~the~~Service ~~principal~~Center, No. ~~amount~~1 ofXihu ~~$54~~Road,~~250~~ ~~(the~~Wujin ~~“Note”).~~National ~~The~~Hi-Tech ~~Note~~Industrial ~~contains~~Zone, ~~legal~~pursuant ~~fees payable~~ to ~~Purchaser’s legal~~which ~~counsel~~we ofamended ~~$3,000~~(“amended ~~and~~agreement”) tothe ~~Purchaser~~Stock aPurchase Agreement ~~due~~dated ~~diligence~~August ~~fee of $1~~20,~~250~~ 2020.

The ~~maturity~~amended ~~date~~agreement ~~of the~~updates ~~Note is June 17, 2023 (~~the ~~“Maturity~~closing ~~Date”).~~provisions ~~The Note shall bear interest at a rate~~ of 8%acquisition ~~per annum,~~ which ~~interest~~allows ~~may be~~fast ~~paid~~tracking bySIMCOR ~~the Company to Purchaser in shares of common stock but shall not be payable until the Note becomes payable, whether at the Maturity Date or upon acceleration or by prepayment, as described in the Note~~acquisition. Purchaser has the option to convert all or any amount of the principal face amount of the Note, after the sixth month anniversary of the Note, and ending on the later of the Maturity Date and the date of payment of the Default Amount, as defined in the Note, is paid if an event of default occurs, for shares of the Company’s common stock at the then-applicable conversion price.
