Pursuant to the terms of the Merger, Reporting Person, Eric Laurence Swann, as a shareholder of Pointward Inc., received 2,500,000 shares of the Issuer's Common Stock. The Merger was a cashless stock-for-stock exchange. Since Reporting Person previously owned 2,500,000 shares of common stock of Pointward Inc., Reporting Person received 2,500,000 shares of the Issuer's Common Stock as his shares of common stock of Pointward, Inc. were converted to 2,500,000 shares of the Issuer's Common Stock on a one-for-one basis. The closing price of the Issuer's Common Stock on the OTCQB was $0.1989 on December 22, 2023, the effective date of the Merger.
