ITEM 5.02 – DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS.

On December 1^st, 2024, Richard Balles resigned from his position as Director and Board Member, leaving Phil Sands as Director & CEO. Mr. Balles’ resignation was not the result of any disagreements with management.
