ITEM 2.01 – Acquisition of INCUED INC.

On January 31^st, 2025, the Board of Directors of the Company approved the merger of INCUED, Inc. a Delaware corporation located at 220 West Illinois Street, Suite# 2505, Chicago, IL 60654. INCUED, Inc. is in the business of software application and software analytical tools company.
