The performance-based condition was satisfied by the achievement of certain annual recurring revenue targets during the performance period of January 1, 2021 through December 31, 2022, subject to the status of "Participant's Service" (as defined in the 2017 Equity Incentive Plan) through the certification date by the Issuer's Compensation Committee. Each PRSU represented a contingent right to receive one share of the Issuer's Class A Common Stock upon settlement for no consideration.
