Item 8.01. Other Events

On August 2, 2021, AEP Transmission Company, LLC (the “Company”) entered into an Underwriting Agreement with BNY Mellon Capital Markets, LLC, Citigroup Global Markets Inc., Goldman Sachs & Co. LLC and Mizuho Securities USA LLC (collectively, the “Underwriters”), as underwriters, relating to the offering and sale by the Company of $450,000,000 of its 2.75% Senior Notes, Series N, due 2051 (the “Notes”).

1(a) Underwriting Agreement, dated August 2, 2021 , between the Company and the Underwriters named in Exhibit 1 thereto, in connection with the sale of the Notes.

4(a) Company Order and Officer’s Certificate, between the Company and The Bank of New York Mellon Trust Company, N.A., as Trustee, dated August 4, 2021 , establishing the terms of the Notes.
