~~On July~~At ~~24,~~the end of September 2025, ~~Mr.~~Blue ~~Guo~~Hat ~~Fan~~Interactive Entertainment Technology (~~“Mr.~~the ~~Fan~~“Company”), acompleted ~~director and~~ the ~~joint~~issuance ~~chief~~of ~~executive~~a ~~officer~~total of ~~Blue~~29,682,353 ~~Hat~~ordinary ~~Interactive Entertainment Technology~~shares, apar ~~Cayman~~value ~~Islands~~$0.0000001 per ~~exempted~~share ~~company~~(the “Ordinary Shares”) (the “~~Company~~Securities”), ~~notified~~at the ~~board~~average closing price of the ~~Company~~Ordinary ofShares ~~his~~in ~~decision~~the past 30 trading days immediately before August 28, 2025, which is $1.70 per share, to ~~resign~~ ~~from~~certain ~~his~~designees ~~positions~~(each, a “Designee”, collectively, the “Designees”) of City Fields Enterprises Limited (the ~~Company~~“Seller”).

~~Mr. Fan’s~~The ~~resignation~~issuance ~~was~~is ~~due~~pursuant to ~~personal~~that ~~reasons~~certain Gold Purchase Agreement dated August 8, 2025 and ~~was~~the ~~not~~supplementary aagreement ~~result~~dated ofAugust ~~any~~28, ~~disagreements~~2025 ~~with~~by and between the Company onand ~~any~~the ~~matters~~Seller ~~relating~~(collectively the “Agreements”). Pursuant to ~~its~~the ~~operations~~Agreements, ~~policies~~the orCompany ~~practice~~shall pay $50,460,000 purchase price in the form of Ordinary Shares to purchase 500 kilogram gold.

The Company’s Securities are registered under the Securities Act of 1933, as amended (the “Securities Act”), or the securities laws of any state, and are being offered and issued in reliance on the exemption from registration under the Securities Act afforded by Regulation S promulgated thereunder as the securities are being issued to the person through an offshore transaction which was negotiated and consummated outside the United States.
