Item 8.01.

Other Events.

On April 3, 2024, OceanTech Acquisitions I Corp., a Delaware corporation (the “Company”), issued a press release announcing that it caused to be deposited $30,000 into the Company’s trust account on April 3, 2024, for its public stockholders, allowing the Company to extend the period of time it has to consummate its initial business combination by one month from April 2, 2024 to May 2, 2024 (the “Extension”). The Extension is the eleventh of twelve, one month extensions permitted under the Company’s governing documents.

A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
