Item 8.01 Other Events.

On September 4, 2025, Vivani Medical, Inc. (the “Company”) announced clinical development plans for NPM-139, the Company’s investigational semaglutide implant for chronic weight management in patients who are either obese and overweight with a related comorbidity. A copy of the press release issued in connection with this announcement is being furnished as Exhibit 99.1 to this Current Report on Form 8-K.
