Item 2.02. Results of Operations and Financial Condition.

As previously disclosed, on July 30, 2022, Romeo Power, Inc., a Delaware corporation (the “Company”) entered into an Agreement and Plan of Merger and Reorganization (the “Merger Agreement”) with Nikola Corporation, a Delaware corporation (“Nikola”), and the J Purchaser Corp., a Delaware corporation and a wholly owned subsidiary of Nikola (“Purchaser”). The Merger Agreement provides that, upon the terms and subject to the conditions thereof, as promptly as practicable, Purchaser will commence an exchange offer (the “Offer”) to acquire any and all of the issued and outstanding shares of common stock, $0.0001 par value per share, of the Company (“Romeo Common Stock”) for 0.1186 shares of Nikola common stock, par value $0.0001 per share (“Nikola Common Stock”).

The impact of the Company’s announcement of the Merger Agreement, the Offer and the transactions contemplated thereby may have an uncertain impact on the Company’s revenue for the second half of fiscal year 2022. As a result, the Company has decided not to conduct an earnings call for the second quarter of fiscal year 2022 and instead the Company refers investors to its quarterly report on Form 10-Q for the fiscal quarter ended June 30, 2022, filed with the Securities and Exchange Commission on August 8, 2022. In addition, the Company also withdraws all previous revenue guidance for fiscal year 2022 and advises investors to no longer rely on such previous guidance. Further, the Company also withdraws any other aspects of its outlook and assumptions for 2022 as provided in its press release of May 9, 2022, and on its earnings call of May 9, 2022.
