Item 8.01 Other Events

On October 15, 2019 we entered into a 12-month Independent Consulting Agreement (“Agreement”) with Grant Galloway (“Galloway”). Pursuant to the Agreement, Galloway will provide consulting services for the Company. Galloway will assist the Company in developing and implementing appropriate plans and means for presenting the Company to the financial community. In addition, Galloway will introduce the Company to retail brokers, institutional managers, portfolio managers, analysts, and financial public relations professionals. Galloway will also perform the functions generally assigned to shareholder relations and public relations, including responding to telephone and written inquiries, preparing press releases, preparing reports and other communications to our shareholders, and other related activities.

For undertaking this engagement and for other good and valuable consideration, the Company agrees to provide compensation to Consultant in the form of 1 million shares of common stock of the Company. Of the 1 million shares, 500,000 were due at signing and the remaining 500,000 are due 180 days after the signing of the Agreement.
