THE SERIES B PREFERRED STOCK WILL CONVERT AUTOMATICALLY UPON THE ISSUER'S INCREASING ITS NUMBER OF SHARES OF COMMON STOCK OF AUTHORIZED CAPITAL TO PERMIT THE ISSUER TO ISSUE A SUFFICIENT OF SHARES OF COMMON STOCK IN CONVERSION OF THE SERIES B PREFERRED STOCK.
