- [F1]On May 20, 2021, the shareholders approved certain amendments to the Arconic Corporation 2020 Stock Incentive Plan, including an increase in shares reserved for grants under the Stock Incentive Plan. As part of its governance practices, the Compensation and Benefits Committee of the Board of Directors adopted its equity grant and vesting cadence for annual employee grants, with grants to occur on March 1st of every year or the first business day thereafter. In order to align the 2021 annual employee equity grants with its equity grant and vesting cadence, the Compensation and Benefits Committee at its February meeting authorized the grant of the annual employee equity awards on May 21, 2021, with the number of shares granted to be calculated based on the closing price of Arconic, Inc. common stock on March 1, 2021 and subject to shareholder approval of the Amendments. The vesting date for the 2021 annual employee grant is March 1, 2024.
