The Reporting Person is the manager of the LLC and will continue to have investment control over the shares held by the LLC. The Reporting Person is one of the beneficiaries of the trust. The Reporting Person disclaims beneficial ownership of the shares held by the LLC except to the extent of his pecuniary interest therein.
